ZRY Terms of Service

Welcome to ZRY. These Terms of Service govern your access to and use of our post-quantum watermarking and content authenticity platform. Please read them carefully. By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using ZRY's watermarking, provenance, and verification services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. These Terms constitute a legally binding agreement between you and ZRY Technologies, Inc., a company incorporated in Oakland, California.

2. Description of Services

ZRY provides post-quantum watermarking and content authenticity services through REST APIs, web interfaces, and MCP server packages.

  • C2PA digital signatures with post-quantum cryptography (ML-DSA, ML-KEM, SLH-DSA)
  • Visible and invisible watermarking for images, videos, audio, and documents
  • Batch processing and asynchronous job workflows
  • Webhook integrations for automated pipelines
  • Watermark verification and forensic layer detection
  • Stream signing for live video content
  • API key management and usage analytics

3. Account Registration

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and API keys.
  • You must notify us immediately of any unauthorized access or security breach.
  • Each user account must correspond to a real individual or organization. Creating multiple accounts to circumvent usage limits is prohibited.
  • You must be at least 18 years old or the age of majority in your jurisdiction to create an account.

4. Subscription Tiers and Billing

ZRY offers multiple subscription tiers with varying features and usage limits.

  • Starter (Free): 100 monthly requests, community support, rate-limited access.
  • Professional: Paid tier with increased limits, email support, 14-day trial with 1,000 requests.
  • Enterprise: Unlimited requests, dedicated support, custom SLA, 14-day trial with 1,000 requests.
  • Billing is monthly and processed through Stripe. You authorize us to charge your payment method on a recurring basis.
  • Overage charges apply when you exceed your monthly quota at the rate specified in your plan.
  • Trials automatically convert to the Starter tier unless you upgrade before expiration.
  • You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect at the next billing cycle unless otherwise specified.
  • Refunds are provided at our discretion on a case-by-case basis. Enterprise customers should contact sales for custom refund policies.
  • We reserve the right to modify pricing with 30 days' advance notice.

5. Usage Limits and Fair Use

  • Each tier includes specific rate limits, file size limits, and monthly request quotas as described in your subscription.
  • Rate limits: Starter (5 req/min), Professional (60 req/min), Enterprise (custom).
  • File size limits: Starter (25 MB), Professional (100 MB), Enterprise (500 MB).
  • You may not use automated scripts, bots, or other methods to circumvent rate limits or usage quotas.
  • Excessive use that degrades service performance for other users may result in throttling or account suspension.
  • Batch processing and async job limits apply per tier and may not be exceeded.

6. Acceptable Use Policy

You agree not to use the Services for any unlawful or prohibited activities. Specifically, you may not:

  • Upload or process content that infringes intellectual property rights, violates privacy laws, or contains illegal material.
  • Process malware, viruses, or any malicious code through our systems.
  • Use the Services to facilitate fraud, deception, or identity theft.
  • Watermark content you do not own or have authorization to modify.
  • Reverse engineer, decompile, or attempt to extract the source code of our watermarking algorithms.
  • Resell or redistribute access to the Services without explicit written permission.
  • Use the Services to harass, defame, or harm others.
  • Generate excessive API requests for the purpose of testing security vulnerabilities (contact security@zry.ai for authorized penetration testing).
  • Upload content containing child exploitation material, violent extremism, or terrorism-related content.

7. Intellectual Property

  • You retain all ownership rights to content you upload ("User Content"). By uploading content, you grant us a limited license to process, store, and watermark that content solely to provide the Services.
  • ZRY retains all rights, title, and interest in the Services, including our watermarking algorithms, APIs, documentation, and trademarks.
  • You may not use ZRY trademarks, logos, or branding without prior written consent.
  • Watermarked outputs generated by our Services belong to you, subject to these Terms and any applicable third-party licenses.

8. Data Storage and Deletion

  • Uploaded files are stored in Google Cloud Storage and retained according to your tier's data retention policy.
  • Anonymous uploads are automatically deleted after 24 hours.
  • Authenticated users can delete files at any time through the dashboard or API.
  • We retain usage logs, audit trails, and metadata for compliance purposes as described in our Privacy Policy.
  • Upon account deletion, all user content, keys, and personal data are permanently deleted within 30 days, except as required by law.

9. Service Level Agreements

  • Starter: Best-effort availability with no guaranteed uptime.
  • Professional: 99.9% monthly uptime SLA, email support with 24-hour response time.
  • Enterprise: 99.99% monthly uptime SLA, dedicated support with 4-hour response time.
  • SLA credits are provided for verified downtime exceeding these thresholds. Credits do not exceed one month's subscription fee.
  • Scheduled maintenance windows are excluded from uptime calculations and announced at least 48 hours in advance.

10. API Keys and Security

  • API keys are confidential and must not be shared publicly or embedded in client-side code.
  • You are responsible for all activity conducted using your API keys.
  • API keys can be rotated at any time through the dashboard. Immediate rotation is recommended if a key is compromised.
  • We may revoke API keys if we detect suspicious activity or Terms violations.
  • You must implement appropriate security measures to protect your API keys, including secrets management systems and environment variable isolation.

11. Webhooks and Integrations

  • Webhook endpoints must use HTTPS and respond within 10 seconds.
  • Failed webhook deliveries are retried up to 5 times with exponential backoff.
  • You are responsible for validating webhook signatures to prevent spoofing.
  • We reserve the right to disable webhooks that repeatedly fail or cause performance issues.

12. Service Modifications and Downtime

  • We reserve the right to modify, suspend, or discontinue any feature of the Services with reasonable notice.
  • Scheduled maintenance will be announced at least 48 hours in advance when possible.
  • Emergency maintenance may occur without prior notice to address security vulnerabilities or critical system issues.
  • We are not liable for downtime or service interruptions beyond the SLA credits specified in your plan.

13. Termination

  • You may terminate your account at any time through the dashboard or by contacting support.
  • We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk.
  • Upon termination, your access to the Services will cease, and any outstanding fees become immediately due.
  • Provisions relating to intellectual property, liability, indemnification, and dispute resolution survive termination.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ZRY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU ASSUME ALL RISK ASSOCIATED WITH USING THE SERVICES.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZRY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

16. Indemnification

You agree to indemnify, defend, and hold harmless ZRY, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party rights. This indemnification obligation survives termination of these Terms.

17. DMCA and Copyright Infringement

  • We respect intellectual property rights. If you believe content processed through our Services infringes your copyright, contact us at copyright@zry.ai with:
  • A description of the copyrighted work and the allegedly infringing material.
  • Your contact information and a statement of good faith belief.
  • A physical or electronic signature of the copyright owner or authorized representative.
  • We will investigate all valid DMCA notices and take appropriate action, which may include removing content or suspending accounts.

18. Export Control and Compliance

  • The Services use cryptographic technology subject to U.S. export control laws. You agree to comply with all applicable export regulations.
  • You represent that you are not located in, or a national of, any country subject to U.S. embargo or designated as a "terrorist supporting" country.
  • You will not use the Services for any purpose prohibited by U.S. law, including nuclear, chemical, or biological weapons development.

19. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
  • Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Alameda County, California. You consent to the personal jurisdiction of these courts.
  • For disputes under $10,000, you agree to attempt good-faith mediation before pursuing litigation.
  • Enterprise customers with custom agreements may have alternative dispute resolution terms as specified in their contracts.

20. GDPR and Privacy Rights

  • We comply with GDPR, CCPA, and other applicable privacy laws. See our Privacy Policy for details.
  • You have rights to access, rectify, delete, and port your data through the dashboard ("Settings → Data Subject Controls") or the /api/v1/privacy/dsr/export endpoint.
  • We act as a data processor for User Content you upload. You are responsible for ensuring you have lawful basis to process any personal data in uploaded content.
  • Data processing agreements (DPAs) are available for Professional and Enterprise customers upon request.

21. Beta Features and Experimental Services

  • We may offer beta features labeled as "beta," "alpha," "preview," or "experimental." These features are provided as-is with no warranties.
  • Beta features may have bugs, limited functionality, or reduced performance. We may discontinue beta features at any time.
  • Feedback you provide on beta features may be used by ZRY without compensation or attribution.

22. Third-Party Services

  • The Services integrate with third-party providers (Firebase Auth, Google Cloud Storage, Stripe, Upstash, Sentry). Your use of these services is subject to their respective terms.
  • We are not responsible for third-party service failures, data breaches, or policy changes.
  • C2PA signatures rely on external trust infrastructure. We do not control certificate authorities or content credentials registries.

23. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, or government actions. SLA credits do not apply during force majeure events.

24. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets with notice to you.

25. Entire Agreement

These Terms, together with our Privacy Policy and any applicable DPAs or enterprise agreements, constitute the entire agreement between you and ZRY regarding the Services. These Terms supersede all prior agreements, whether written or oral.

26. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

27. Waiver

Our failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision. Waivers must be in writing to be effective.

28. Changes to Terms

  • We may update these Terms from time to time. Material changes will be announced via email or dashboard notification at least 30 days before taking effect.
  • Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
  • If you do not agree to updated Terms, you must discontinue using the Services and may terminate your account.
